NATIONAL ASSOCIATION OF WATCH AND CLOCK COLLECTORS

CAROLINA CHAPTER 17

 

CONSTITUTION

 

ARTICLE 1: NAME

 

The name of this chapter shall be Carolina Chapter Number 17 of the National Association of Watch and Clock Collectors, Inc. (NAWCC) and shall subsequently be referred to as THE CHAPTER.

 

ARTICLE 2: PURPOSE

 

The purpose of this chapter shall be to supplement the activities of NAWCC by developing educational programs pertaining to horology, fostering a genuine interest in collecting timepieces, to facilitate the sale and/or purchase of timepieces by chapter members, disseminate information relating to history and repair of timepieces, and enjoy good fellowship within the membership.

 

ARTICLE 3: NON-PROFIT

 

The Chapter shall be a not for profit organization of horologists, collectors, and those interested in horology.

 

ARTICLE 4: OFFICERS

 

The elected officers of the chapter shall be: President, 1st Vice President, 2nd Vice President, Secretary, and Treasurer. The offices of the Secretary and Treasurer may be combined into one person.

 

ARTICLE 5: ADVISORS

 

Advisors shall consist all past presidents who are members in good standing of NAWCC and Chapter 17. Advisors are to attend all meetings of the officers and contribute to all issues under discussion.  Two(2) non voting advisors may nominated by the President and approved by Council. The non-voting advisors term will end when the President's term ends.

 

ARTICLE 6: COUNCIL

 

The council shall consist of the elected officers and the advisors. Each shall have one vote. The President shall only vote in case of a tie vote. The non-voting advisors will have no vote.

 

ARTICLE 7: ELIGIBILITY

 

Any NAWCC member in good standing is eligible for membership of THE CHAPTER subject to the conditions defined by the by-laws.

 

 

 

ARTICLE 8: BY-LAWS

 

THE CHAPTER shall, by the enactment of suitable by-laws, provide for the election of officers, their terms office, their qualifications and election, the place and order of business of meetings, the amount of dues, and such other matters as may be deemed necessary.

 

The by-laws shall contain nothing inconsistent or in conflict with the constitution and by-laws of the National Association of Watch and Clock Collectors.

 

ARTICLE 9: AMENDMENTS

 

The constitution or by-laws may be amended in the following manner.

 

A written proposal may be presented at any meeting by reading it to the assembly. A majority of the members present may vote to authorize a 3 man committee, appointed by the President, to study and make a recommendation on the proposal to the membership at the next regular meeting of the chapter.  A majority of the membership present at the meeting may approve the printing, distribution, and voting on the proposal at the next meeting.  The recommendation shall be distributed with the proposal. Distribution must be made at least 30 days prior to a vote. A 2/3 approval vote of the membership present is required to approve all by-law changes.

 

Alternatively, Council may initiate amendments and recommend by-law changes. With a majority of the membership present voting for approval, the printing, distribution, mailing, and voting shall be as described above.

 



Bylaws

BY-LAWS

 

ARTICLE 1: DUTIES OF OFFICERS

 

The president shall preside at all meeting of the chapter and the council.  He shall appoint committees and may call special meetings of the council at any time.

 

The 1st Vice President shall perform the duties of the President in the President’s absence.

 

The 2nd Vice President shall be the Program Chairman and will make all meeting arrangements including exhibits, contests, auctions and other approved functions.

 

The Secretary shall keep the minutes of each meeting of the chapter and council. The Secretary will answer all correspondence with policy matters being referred to the President. The secretary will process all chapter memberships and be responsible for reporting the activities of the chapter in the NAWCC Bulletin. The Secretary shall also write and distribute the meeting notice.  A corresponding secretary may be appointed by Council to assist the Secretary.

 

The Treasurer shall receive all funds to the chapter and deposit such funds in the bank authorized by Council.  The Treasurer shall maintain the membership records and receive all dues.  The Treasurer shall pay all approved bills by check and shall provide a financial report at each meeting of the chapter or council.

 

ARTICLE 2: TERM OF OFFICE

 

The term of office for all elected officers shall be two years.  The term of advisors shall be unlimited as long as they are members in good standing of NAWCC and Chapter 17.

 

ARTICLE 3: ELECTIONS

 

The election of officers shall take place at the November meeting every two years.

 

The nominating committee shall nominate one or more members for each elected office. Additional nominations may be made from the floor provided those nominated agree to serve if elected.  Those receiving the majority of votes shall be elected and will assume office immediately upon adjournment of the November meeting at which the election is held.

 

If a vacancy should occur, Council is authorized to appoint an eligible member to fill the vacancy until the next regular election occurs.

 

 

ARTICLE 4: COUNCIL

 

The Council shall consist of the elected officers and the advisors.  Council shall have full authority to render final decisions on all matters not provided for in the by-laws.

 

ARTICLE 5: COMMITTEES

 

The nominating committee shall consist of all of the advisors.  The immediate past president shall be the Chairman of the nominating committee.

 

An audit committee of three shall be appointed by the President to audit the financial books of the Chapter each time a new Treasurer is elected prior to the transfer of responsibility.

 

Special committees shall be appointed by the President and shall report to the Council.

These may include legal, financial, etc. as needed.

 

ARTICLE 5: MEMBERS

 

Only members in good standing of the National Association of Watch and Clock Collectors, Inc. (NAWCC) shall be eligible for membership in

THE CHAPTER.  If a Chapter member’s membership in NAWCC lapses, his membership in the Chapter will be terminated.  No rebate of dues will be made.

 

The annual dues for the Chapter will be as recommended by the Council and approved by the membership.  Dues for a member will include all family members (spouse and children under 18) as long as all mailings are made to one address.

 

ARTICLE 6: MEETINGS

 

The annual meeting shall be held in November of each year with elections held every two years on even years, i.e. 2004, 2006, 2008, etc.

 

Meetings will be held every other month (January, March, May, July, September, and November) on the second Sunday of the month unless changed by Council to avoid conflicts.

 

ARTICLE 7: GUESTS

 

Non members may attend as guests of members (not more than once per year), and cannot participate in the Mart or Auction.

 

All NAWCC members are welcome as guests once per year

 

ARTICLE 8: AMENDMENTS

 

The by-laws may be amended as per the Constitution.
